Terms of Service

Effective date: May 19, 2026

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Emekly (“we,” “us,” or “our”). By accessing or using Emekly at emekly.com you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Acceptance of Terms

By creating an account, uploading a CV, or otherwise using any feature of Emekly, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using Emekly on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both you and that entity.

2. Service Description

Emekly is an AI-powered career platform that provides:

  • CV / résumé analysis and ATS compatibility scoring
  • Skill-gap identification and personalized career roadmaps
  • AI-assisted job matching from aggregated global job boards
  • AI Cover Letter generation
  • Interview preparation and analysis credits

The Service is provided “as is” for informational and productivity purposes. Nothing in the Service constitutes professional career counselling, legal employment advice, or a guarantee of employment.

3. Eligibility

You must be at least 16 years of age to use Emekly. By agreeing to these Terms you represent and warrant that:

  • You are at least 16 years old.
  • Your use of the Service does not violate any applicable law or regulation in your jurisdiction.
  • You have not been previously suspended or banned from the Service.

If you are between 16 and 18 years old, you represent that you have obtained parental or guardian consent to use the Service.

4. Account Registration & Security

You must register an account to access core features. When registering you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and update your information to keep it accurate.
  • Keep your password confidential and not share it with third parties.
  • Immediately notify us at emekly.co@gmail.com if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account, whether or not authorized by you. We will not be liable for any loss or damage arising from your failure to protect your credentials.

We reserve the right to terminate accounts that contain false or misleading information, or that have been inactive for more than 12 consecutive months after providing 30 days' notice by email.

5. Subscriptions & Billing

5.1 Plans

Emekly offers a Free tier and paid subscription tiers (Pro, Premium). The features and limits of each tier are described on our Subscription page. We reserve the right to change plan features or pricing with 30 days' notice.

5.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis depending on your selected billing cycle. All fees are exclusive of applicable taxes, which will be added where required by law. Payments are processed by our third-party payment processor and are subject to their terms.

5.3 Cancellation

You may cancel your subscription at any time from Account Settings. Cancellation takes effect at the end of the current paid billing period. You will retain full access to paid features until that date. No partial-period credits are issued.

5.4 No Refund Policy

All subscription purchases are final and non-refundable, except where required by applicable consumer protection law in your jurisdiction. By completing a purchase you acknowledge and agree that no refunds will be issued. If you believe you have a claim under mandatory local law, contact us at emekly.co@gmail.com.

5.5 Failed Payments

If a payment fails, we will attempt to re-process the charge up to three times over a 14-day period. If payment remains outstanding, your account may be downgraded to the Free tier until payment is resolved.

6. Acceptable Use

You agree not to use the Service to:

  • Upload CVs or documents belonging to another person without their explicit consent.
  • Reverse-engineer, scrape, or systematically extract data from the Service.
  • Circumvent access controls, usage limits, or subscription tiers.
  • Transmit malware, spam, or any content that is unlawful, defamatory, or harmful.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use automated bots, crawlers, or scripts to access the Service at a volume that places unreasonable load on our infrastructure.
  • Resell, sublicense, or create derivative products from the Service without written permission.
  • Use the Service for any purpose that violates applicable employment, anti-discrimination, or data protection law.

Violation of this section may result in immediate suspension or termination of your account without refund.

7. CV & Personal Data

When you upload a CV or resume, you grant Emekly a limited, non-exclusive, revocable licence to process, store, and analyze the contents of that document solely for the purpose of providing the Service to you. This licence expires when you delete the document or your account.

You represent and warrant that you own or have the right to upload the document, and that the document does not infringe any third-party intellectual property or privacy rights.

We process CV data through AI APIs (including but not limited to Groq, OpenAI, Anthropic, and Google). Under the terms of those APIs, your data is never used to train third-party AI models. See our Privacy Policy — AI Processing for full details.

8. Intellectual Property

8.1 Our IP

The Emekly name, logo, platform software, AI models, algorithms, UI designs, and all related materials are our exclusive intellectual property or that of our licensors. Nothing in these Terms transfers any IP ownership to you.

8.2 Your Content

You retain all ownership rights in your CV, résumé, and any content you upload. The AI-generated outputs (analysis reports, cover letters, skill-gap plans) produced for you are provided for your personal use. You may use, copy, and adapt them freely. We claim no ownership over these outputs.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.

9. Disclaimers

Please read this section carefully.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • AI-generated outputs (analyses, scores, cover letters) are accurate, complete, or suitable for any specific employer.
  • Job listings shown are current, accurate, or result in employment.
  • The platform will meet all of your particular career requirements.

AI outputs are probabilistic and may contain errors. Always review AI-generated content before submitting it to employers. We are not liable for decisions made based on our AI outputs.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Emekly and its officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data or CV content
  • Missed employment opportunities
  • Unauthorized access to your account
  • Service interruptions or downtime

In any event, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to us in the 12 months preceding the claim, or (b) USD $50.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Emekly and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any content you upload to the Service.

12. Termination

12.1 By You

You may stop using the Service at any time. You may permanently delete your account from Account Settings. Deletion is immediate and irreversible. See our Privacy Policy — Data Deletion for what happens to your data.

12.2 By Us

We may suspend or permanently terminate your account, with or without notice, if we determine that you have violated these Terms, if required by law, or if your account poses a security or fraud risk. In the event of termination for cause, we are not obligated to provide a refund.

12.3 Effect of Termination

Upon termination, all licences granted to you under these Terms immediately cease. Sections 7 (CV & Personal Data — your representations), 8.3 (Feedback), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Disputes), and any accrued obligations survive termination.

13. Disputes & Governing Law

Before initiating any formal legal proceeding, you agree to first contact us at emekly.co@gmail.com and attempt to resolve the dispute informally. We will make reasonable efforts to respond within 14 days.

These Terms and any dispute arising out of or related to the Service are governed by and construed in accordance with the laws of the jurisdiction in which Emekly is incorporated, without regard to conflict-of-law principles.

To the extent permitted by law, any dispute that cannot be resolved informally shall be submitted to binding arbitration rather than litigated in court, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or unauthorized access.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the “Effective date” at the top of this page.
  • Send an email notification to registered users at least 14 days before the changes take effect.
  • Show an in-app banner prompting you to review and re-accept the updated Terms.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
